SHIPPING AND RETURNS

All sales are final and never sold on a guaranteed sales basis. Merchandise may be returned, within 10 days, for exchange only if a factory defect exists. Returns accepted for any other reason will be assessed a repackaging/restocking charge up to 25%.
To insure prompt and efficient handling of your returns, you must obtain a return authorization number from Framesi NA or its affiliates which must appear on the shipping carton, or returns will be refused. A packing list must be included to show invoice number and date on which the goods were ordered. List all returned goods and specific reasons for the returns.

When Framesi, in its discretion, accepts returns for credit to our customer, the following are the typical costs and exclusions from inventory return credits:
- Our standard restocking charge is ten percent (10%) of the sellable product price. This is subject to change based on the quality of the packaged, returned inventory.
- All inventory must be current sellable product in current packaging to be eligible for credit.
- Inventory in unopened case lots of 72 color items with the Framesi Italy shipping label unbroken will be considered at full value, less restocking charge.
- Inventory in opened and mixed product cases will be broken down into individual SKU’s and returned to stock, subject to a labor charge for repackaging as well as restocking charge.
- Inventory returned in damaged cartons will incur a charge for new packaging if the actual product can be repackaged and sold.
- Out of date product will be accepted as part of an inventory return. They must be returned along with all current inventory products in one large shipment.
  
  Credit given, if any, on out of date products will be at Framesi’s sole discretion.
- Any labor required to prepare Distributor’s returned inventory for restocking or discard of unusable inventory or packaging will be charged against inventory return credits.
- Absent special circumstances and approval by Framesi, the customer is responsible for the freight cost for inventory returns.

All sample merchandise will be billed and shipped on request, and may be returned only with a return authorization number from Framesi NA or its affiliates.

PRIVACY POLICY/YOUR PRIVACY RIGHTS

Framkat LP/Framesi North America (“Framesi”) owns and operates the framesicolorlover.com, framesiglamour.com, and framesiprofessional.com sites (collectively, the “Sites”) as well the Framesi Color Lover mobile application (“App.”). Framesi is committed to protecting your privacy when you visit and interact with the Sites and App. As such, Framesi’s privacy practices are explained in this Privacy Policy (“Policy”).

This Policy contains details about how Framesi collects and uses information from you when you use the Sites and App.

This Policy covers only the Sites and App. Other Framesi sites may have their own privacy policies, and you should consult those accordingly.

This Policy is effective as of: September 17th, 2014.

Policy Changes ——————–

Framesi may update this Policy from time to time. Any changes to this Policy will be posted below for a period of thirty (30) days and will be effective when posted. The changes will also be immediately incorporated into this Policy.

Your continued use of the Sites or App. after any changes are made to this Policy constitutes your acceptance of the changes. If any of the changes are unacceptable to you, you should cease using the Sites and/or App.

If any changes to this Policy affect how Framesi treats or handles personally identifiable information already provided to Framesi by you, Framesi will notify you by email (if Framesi has a valid email address to use) and give you thirty (30) days to opt out of the changes as they pertain to your information.

Collection and Use of Information ——————–

You can generally visit the Sites and use the App. without revealing any personally identifiable information about yourself. Personally identifiable information (“PII”) is generally defined as information that may be able to identify you such as, but not limited to, name, address, telephone number, email address, credit card number, photograph, age, etc.

There are areas of the Sites where you may be asked to provide Framesi with PII. For example, PII such as your name, telephone number, email address, mailing address, salon or student ID number, etc. may be collected from you when:

- you contact Framesi with questions or comments, or request information about Framesi products;

- you participate in surveys, questionnaires, sweepstakes or contests through the Sites;

- you sign up for the Framesi email newsletter;

- you request that Framesi send you sample products;

- you request information on where Framesi products are sold;

- you set up an online account to purchase Framesi products;

- you order/purchase Framesi products; and/or

- you request Framesi products as rewards (Elite Moda Capelli members).

Depending on the nature of the activity, such as if you publically upload/post content with PII to the Sites, other users may be able to view your PII. Framesi reserves the right to modify or delete any content you upload/post to the Sites.

Framesi may use your PII to:

- respond to questions or comments you have about Framesi or Framesi products;

- deliver services through the Sites at your request;

- process and catalog responses to surveys or questionnaires;

- enter you in contests and sweepstakes you participate in through the Sites;

- set up your online account to purchase Framesi products;

- send you Framesi newsletters and other product updates;

- send you Framesi products ordered/requested by you;

- send invoices for purchased Framesi products;

- provide feedback on where Framesi products are sold; and/or

- improve the content and general administration of the Sites.

One or more of the Sites may use cookies. Cookies are files that are transmitted to your computer when you visit one or more of the Sites. Cookies allow Framesi to recognize your browser when you subsequently return to one or more of the Sites. Cookies may also collect your user preferences when you visit one or more of the Sites. Framesi does not use cookies to obtain PII. Framesi uses cookies to improve performance on one or more of the Sites. You may be able to delete the cookies by consulting your browser and/or computer instructions. Please note that any deletion of cookies could affect how one or more of the Sites appears and/or operates for you.

Framesi may use third party advertising technology to serve advertisements to you on other sites. The technology gathers anonymous data about your visits to the Sites and visits to other sites where Framesi advertisements appear in order to serve you with Framesi advertisements on third party sites. When these advertisements are served to you, third party cookies may be put on your computer.

For example, Framesi uses AdRoll (www.adroll.com, https://www.adroll.com/about/privacy) to serve you customized advertisements on third party sites based on your interaction with one or more of the Sites. As you browse one or more of the Sites, advertising cookies may be placed on your computer so that Framesi can understand what you are interested in on the Sites. AdRoll allows Framesi to present you with retargeting advertising on other sites you visit based on your previous interaction with one or more of the Sites. These techniques do not collect PII. Please visit http://www.networkadvertising.org/choices/ to opt out of AdRoll and its partners’ targeted advertising.

By providing to Framesi the PII and other information referenced above, you agree that Framesi may use the PII and other information in accordance with the terms of this Policy.

Sharing of PII and Other Information ——————–

Except as noted herein, Framesi does not sell or share your PII with any person or entity outside of Framesi.

Framesi does not share PII with any person or entity for direct marketing purposes.

Third parties are not able to collect PII or other information through the Sites or App.

Framesi may share certain PII with the U.S. Postal Service or other shipping entities in order to ship any requested product samples to you. Framesi may also share PII with its credit card processing entity in order to process any credit card purchases made through the one of the Sites.

Framesi will disclose your PII if it reasonably believes it is required to do so by law or in cooperation with a governmental or law enforcement investigation. Framesi may also share PII or other information in order to avoid imminent physical harm to any person or harm to any Framesi property.

Framesi may share your PII with a third party if Framesi’s ownership status changes, such as it being acquired.

Other than what is referenced above, the PII collected from you is not shared with or sold to any person or entity outside of Framesi.

The Framesi Color Lover Mobile App ——————–

No information, PII or otherwise, is collected through the App. The App. is informational only. While there are sections of the App. that reference the ability to request sample Framesi products and enter Framesi contests, you will be automatically forwarded to the framesicolorlover.com site to provide the necessary information.

Standard data and other fees may be charged by your mobile phone carrier when using the App., so please be aware of them.

Review of Collected PII ——————–

If you would like to review, edit, or delete any of the PII Framesi collected from you, or wish Framesi to cease using your PII in the manners specified in this Policy, please contact Framesi at customerservice@framesi-na.com. Please note that Framesi will do its best to accommodate your request, but Framesi cannot guarantee it can remove all PII from the specified uses. Therefore, please be as specific as possible in your request.

If you have an online account and want it deleted, please contact Framesi at 412-269-2950.

Please note that Framesi reserves the right to maintain proper business records as required by law, even if such records contain your PII.

If you would like to opt out of receiving further promotional emails from Framesi, please following the opt out instructions at the bottom of the email or send Framesi a detailed email to customerservice@framesi-na.com.

Framesi does not knowingly collect any information from minors, nor are the Sites directed at or intended for minors. If a minor uploads/posts information to the Sites that is publically available, and the minor subsequently wants that same information deleted, the minor has a right to request that said information be removed from public viewing. Please contact customerservice@framesi-na.com to have the information removed.

Response to “Do Not Track” Requests/Signals——————–

At the present time, Framesi does not respond to nor process “do not track” or similar technical requests not to be tracked.

Data Security and Retention ——————–

Framesi uses industry standard technological security measures that are reasonably designed to help protect your PII from loss, unauthorized access, or disclosure. Framesi uses SSL encryption to help prevent unauthorized access to PII you transmit to the Sites.

While Framesi takes the issue of protecting your PII seriously, you should exercise discretion in what information you disclose and/or transmit to the Sites. Framesi cannot guarantee that information sent over the Internet is fully secure, and therefore the transmitted information may be intercepted by others before it reaches Framesi. If you are concerned about sending information to Framesi over the Internet, please send the information by mail or call us to make other arrangements. Framesi is not responsible for the security of information sent over the Internet.

Framesi takes steps to make sure that any PII shared with third parties is only used for the specified purposes and that it will not be shared beyond those third parties unless it is necessary to complete the specified task.

Framesi retains collected information for a reasonable amount of time in order to fulfill the stated purpose for why the information was collected. Framesi will also retain collected information connected to business records for periods of time required by law. Finally, Framesi will maintain some collected information as part of its customer list. If Framesi determines that collected information is no longer needed, it will delete such information. Our collection times will be consistent with applicable law.

Children’s Privacy ——————–

The Sites and App. are intended for individuals 18 years of age and older located in the United States.

The Sites and App. are not directed at, marketed to, nor intended for, children under 13 years of age. Framesi does not knowingly collect any information, including PII, from children under 13 years of age. If Framesi learns that any information was provided through the Sites or App. by a person younger than 13 years of age, Framesi will delete the information immediately.

Non-U.S. Concerns ——————–

The Sites and App. are meant for individuals within the United States. Framesi only knowingly collects information from individuals within the United States. If you provide information to Framesi from outside of the United States, you do so at you own risk. If you are outside of the United States, you are responsible for complying with any local laws regarding use of the Sites and App., and related data collection. You also agree and acknowledge that by providing any information, including PII, through the Sites or App., that such information will be transmitted to, and stored in, the United States.

User Generated Content ---

One or more of the Sites may allow you to upload your own user generated content that may include, among other things, photos, audio clips, text, videos, and graphics (“UGC”).

Any UGC you upload/post to the Sites is done on a non-proprietary and non-confidential basis, and you agree that Framesi has a royalty-free, perpetual, irrevocable, worldwide, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display any UGC for the purpose of operating and/or marketing the Sites or any related goods or services offered through the Sites. This license includes any right of publicity rights that may be present in the UGC.

Framesi is not required to treat any UGC as confidential.

You further agree that you will not upload/post to the Sites any UGC that infringes the rights, including but not limited to, intellectual property, privacy, publicity, or contract of some other person or entity. You shall be solely liable for any damages, royalties, or fees resulting from any infringement of rights or any other harm resulting from any UGC you upload/post.

You further represent and warrant that: (i) you own all right, title, and interest, including the intellectual property rights, to any UGC uploaded/posted by you to the Sites or you have been granted the right by the owner to upload/post the UGC; and (ii) your UGC does not violate the intellectual property rights, privacy rights, publicity rights, contract rights or any other rights of any person or entity.

Framesi reserves the right to comply and cooperate with any and all legal requirements, legal authorities, and/or law enforcement agencies regarding the investigation of, or request to disclose, information related to your UGC. By accepting these Terms, you waive and hold harmless Framesi from any claims resulting from any action taken by Framesi during or as a result of Framesi’s investigation and/or from any actions taken as a consequence of investigations by either Framesi or law enforcement.

Please note that Framesi does not accept unsolicited content or ideas you may attempt to transmit to Framesi directly. As such, we take no responsibility for such transmitted content or ideas. If you do send Framesi unsolicited content or ideas, you agree that Framesi may use such content and ideas in any way Framesi wishes without any compensation to you.

Intellectual and Other Property ---

Other than the exceptions referenced in these Terms or otherwise noted, the major exception being UGC uploaded/posted by users of the Sites remains the property of the users, all other content on the Sites and App. is the property of Framesi including, but not limited to, all marks, logos, names, text, data, documents, pictures, images, video, audio, graphics, or any other electronic content or files (collectively referred hereafter as “Framesi Content”).

Certain elements of the Sites and App., including but not limited to, text, graphics, photos, images, video, audio, and/or website organization and layout, are copyright protected under United States and international copyright laws and treaty provisions. No Framesi Content that is protected by intellectual property laws may be copied, republished, posted, modified, edited, transmitted, distributed, used to create derivative works of, or reverse engineered, except that you may print out one copy of each page solely for personal, non-commercial use. No right, title, or interest in any of the Framesi Content is transferred to you as a result of you accessing, downloading, or printing such Framesi Content from the Sites.

FRAMESI COLOR LOVER and FRAMESI are marks owned by Framesi’s related company, Framesi S.p.A.

There may be other content on the Sites and App. not owned by Framesi, and you should respect those property rights as well. All rights not expressly granted herein are reserved to Framesi.

Copyright Infringement Notification ---

If you believe that any content on the Sites infringes your copyright and you want the content removed from one or more of the Sites, please send a detailed message (under the Digital Millennium Copyright Act, the following information must be included in the message) to Framesi’s designated agent for notice of claims of copyright infringement:

(i). A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

(ii). Identification of the copyrighted work claimed to have been infringed, or, if multiple works at a single online site are covered by a single notification, a representative list of such works at that site.

(iii). Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit Framesi to locate the material.

(iv). Information reasonably sufficient to permit Framesi to contact you as the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted.

(v). A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.

(vi). A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Framesi takes infringement of intellectual property rights seriously and will investigate the matter.

If you use these links, you will leave the Sites. The display of any links are not meant to imply that Framesi guarantees, approves, recommends, or endorses the linked sites or any information, content, and/or products/services available on those linked sites. Other Prohibited Conduct ---

In connection with your access and/or use of the Sites or App., you agree not to:

- Violate any federal, state, or local laws or regulations, or promote any of the aforementioned.

- Upload/post anything that imposes an unreasonable or disproportionately large strain on Framesi’s network or computer infrastructure.

- Defame, abuse, harass, bully, or threaten anyone.

- Upload/post any inappropriate or offensive content or language.

- Use any automated technology such as a robot, spider, or scraper to access, scrape, or data mine the Sites.

- Attempt to hack into or gain unauthorized access to protected areas of the Sites and/or Framesi’s computers, servers or networks, or to any computers or systems used by other users of the Sites or App.

- Upload/post anything or otherwise use the Sites or App. in a manner that could destroy, damage, or impair any portion of the Sites or any computers, systems, hardware, or software used by Framesi or other users of the Sites or App.

- Make unauthorized attempts to modify any information stored on the Sites or any computers, systems, hardware, or software used by Framesi.

- Make attempts to defeat or circumvent security features, or to utilize the Sites or App. for any other purpose other than their intended purposes.

- Upload/post any unsolicited or unauthorized advertising or promotional materials, spam emails, chain letters or communications, pyramid schemes, or any other form of such solicitations.

- Provide false or misleading information when signing up for any account through one or more of the Sites.

- Use the Sites to send spam or unsolicited bulk email.

The previous list of prohibitions is not exclusive. Framesi reserves the right to terminate your access to the Sites or App. for any reason. Framesi reserves the right to refuse, delete, or edit any UGC without cause and without notice for any or no reason. Framesi is under no duty to, and does represent that it will, monitor and/or remove any UGC.

By accepting these Terms, you waive and hold harmless Framesi from any claims resulting from any action taken by Framesi during or as a result of Framesi’s investigation and/or from any actions taken as a consequence of investigations by either Framesi or law enforcement related to your use of the Sites or App.

In no event will the collective liability of FRAMESI or its officers, directors, employees, affiliates, agents, licensors, Representatives, attorneys, and business partners to any party, regardless of the type of action whether in contract, tort, or otherwise, exceed the greater of $100.00 or the amount you paid to FRAMESI for the applicable good or service out of which the liability arose.

IF YOU ARE DISSATISFIED WITH THE SITES, APP., OR THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITES OR APP.

GIVEN THAT SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. THE LIMITATIONS WILL APPLY TO FULLEST EXTENT ALLOWED UNDER the LAW.

Indemnity ---

You agree to indemnify, defend and hold harmless Framesi, including its officers, directors, employees, affiliates, agents, licensors, representatives, attorneys, and business partners (“Indemnified Parties”), from and against any and all claims, demands, losses, costs, damages, liabilities, judgments, awards, and expenses (including attorneys’ fees, costs of defense, and direct, indirect, punitive, special, individual, consequential, or exemplary damages) Framesi or any of the Indemnified Parties suffer in relation to, arising from, or for the purpose of avoiding, any claim or demand from a third party related to your use of the Sites or App., your use of any goods or services offered through the Sites or App., your breach of these Terms, or any violation of applicable law or regulation by you. Your indemnification obligation shall survive the termination of these Terms.

Geographic Limitation ---

Framesi operates the Sites and App. from its headquarters in the United States, and the Sites, App., and Terms are intended only for users within the United States. If you use the Sites or App. outside the United States, you are responsible for following your applicable local laws and determining, among other things, whether your use of the Sites or App. violates any local laws. By using the Sites or App., you agree and acknowledge that information about you, including personally identifiable information, may be transmitted to and stored in the United States.

Product and Service Availability ---

The Sites and App. contain information about Framesi products and other related services. Availability of such products and services may be limited, and therefore no representations or warranties are made by Framesi with respect to the availability of such products or services.

Password/Username Protection ---

In order to perform certain tasks on one or more of the Sites, you may be required to set up a user account that will be password protected. You are responsible for maintaining the confidentiality of your password and account, and agree to notify Framesi if your password is lost, stolen, disclosed to an unauthorized party, or otherwise may have been compromised. You are responsible for all activities that occur under your user account. You may only set up one user account, and must do so in your own name. You agree to immediately notify Framesi at 412-269-2950 of any unauthorized use of your user account or any other breach of security in relation to the Sites known to you. If Framesi suspends or terminates your user account under these Terms, you acknowledge that all information and content associated with such account will no longer be available to you.

Miscellaneous ---

Framesi does not represent that any content on the Sites or App. is completely accurate, and therefore any reliance on such is done at your own risk.

Any and all disputes relating to these Terms or your use of the Sites or App. are governed by, and will be interpreted in accordance with, the laws of the Commonwealth of Pennsylvania, without regard to any conflict of laws provisions. You hereby irrevocably and unconditionally consent to submit to the exclusive jurisdiction of the courts of the Commonwealth of Pennsylvania (USA) for any litigation arising out of or relating to the use of the Sites or App. , waive any objection to the venue of any such litigation in the Commonwealth of Pennsylvania courts, and agree not to plead or claim in any Commonwealth of Pennsylvania court that such litigation brought therein has been brought in an inconvenient forum.

If any part of these Terms is determined by a court of competent jurisdiction to be invalid or unenforceable, it will not impact any other provision of these Terms, all of which will remain in full force and effect.

Unless otherwise noted, these Terms constitute the entire agreement of the parties with respect to the Sites and App. and supersede all prior communications, promises and proposals, whether oral, written, or electronic, between you and Framesi with respect to the Sites and App.

If you violate any portion of these Terms, Framesi reserves the right, without an obligation to do so, to deny you access to the Sites or App. and/or remove any UGC you may have posted/uploaded.

Framesi’s failure to enforce any portion of these Terms is not a waiver of such portion.

The proprietary rights, disclaimer of warranties, representations made by you, indemnities, and limitations of liability shall survive the termination of these Terms.

Framesi reserves the right without notice and reason to take down or terminate the Sites or App. You agree that Framesi is not liable to you or any other third party for this action.

Framesi does not assume any liability or responsibility for your use of the Internet or the Sites or App. including, but not limited to, any change your computer or related systems may sustain as a result of accessing the Sites or App.

Certain software elements of the Sites or App. may be subject to U.S. Export laws and controls. No software may be downloaded or exported to any country or foreign citizen that is under a U.S. embargo or that would otherwise violate U.S. law or regulations.

TERMS AND CONDITIONS

EXCLUSION OF WARRANTIES

No warranty of merchantability, fitness for a particular purpose, or other warranty (whether expressed, implied or statutory) is made by Framesi NA or its affiliates.

LIMITATION OF LIABILITY

Notwithstanding any other provision to the contrary in this agreement: ANY liability of Framesi NA or its affiliates to customer for any action in contract or in tort, including, without limitation, negligence, gross negligence, or strict liability, for any loss or injury arising out of or connected with, or resulting from the performance of Framesi NA or its affiliates in packaging, blending, formulating, filling, and/or labeling product sold to customer shall not exceed the price paid by customer for such product, or replacement of the product. Framesi NA or its affiliates has the sole option to replace the product, or refund the purchase price.

DISCLAIMER OF CONSEQUENTIAL DAMAGES

In no event shall Framesi NA or its affiliates be liable to customer for any indirect, special, exemplary, incidental, punitive, cover, or consequential damages (even if Framesi NA HAS or its affiliates haVE been advised of the possibility of such damages) arising from the performance or non-performance of Framesi NA’s or its affliates’ agreement to package, to blend, to formulate, to fill and/or to label including, but not limited to, claims for loss of profits, goodwill, business or economic opportunity, delay, or cost of substitute product.

RETURNS

All sales are final and never sold on a guaranteed sales basis. Merchandise may be returned, within 10 days, for exchange only if a factory defect exists. Returns accepted for any other reason will be assessed a restocking charge up to 25%.

To insure prompt and efficient handling of your returns, you must obtain a return authorization number from Framesi NA or its affiliates which must appear on the shipping carton, or returns will be refused. A packing list must be included to show invoice number and date on which the goods were ordered. List all returned goods and specific reasons for the returns.

FREIGHT MUST BE PREPAID BY CUSTOMER

FOR ALL RETURNED MERCHANDISE

All sample merchandise will be billed and shipped on request, and may be returned only with a return authorization number from Framesi NA or its affiliates.

PRICES

Prices are subject to change without notice and merchandise will be billed at prices prevailing on the day of shipment. You will be notified of price changes in advance whenever possible.
